1. Overview

CodeMark is a digital registry that lets you claim, register, and trade unique name-based identities ("CodeMarks"), each minted as a unique barcode that resolves to a business profile or online destination you control. By claiming a CodeMark or using the CodeMark marketplace, you agree to these terms.

2. Your CodeMark registration

Registering a name as a CodeMark records your claim in the CodeMark registry for the registration term you purchase (1 or 2 years). Registration grants you the right to control where scans of that CodeMark resolve and to list the CodeMark for resale on the marketplace. A registration is active until its term expires; lapsed CodeMarks are marked expired and the name reopens for new claims.

Each CodeMark is registered per country. Uniqueness is enforced per (name, country) among active registrations only.

3. Trademark and intellectual property rights

You represent that you are entitled to register and use the name you claim, and that your claim does not infringe the trademark, trade name, or other rights of any third party. Before checkout, CodeMark runs an automated, web-grounded rights screen that searches official trademark registers in your selected countries. Names that match well-known registered marks are blocked; names with a possible conflict are held for registry review. This screen is a pre-filter to help avoid obvious conflicts — it is not a legal trademark clearance, is not a substitute for professional advice, and may not detect every existing mark. You remain solely responsible for confirming that your use of a name does not infringe the rights of others.

CodeMark may refuse, suspend, or cancel any registration that it reasonably believes infringes third-party rights, is abusive, misleading, or otherwise contrary to these terms.

4. Term, renewal, and expiry

A CodeMark registration lasts for the term purchased. You may renew an active registration to extend its term before it expires. We send a reminder before expiry. If a registration is not renewed, it lapses to expired status and the name becomes available for new claims.

Each CodeMark serial is issued once and never reused. If a name is registered again after its previous registration lapsed, the new registration receives a new CodeMark serial; the original serial remains permanently in the registry as an expired historical record.

5. Marketplace and transfers

You may list an active CodeMark for sale and accept offers from other users. On a completed sale, registered control of the CodeMark transfers to the buyer and the sale is recorded in the registry. Resellers receiving payouts must complete the required identity and banking setup with our payment provider. CodeMark may take a fee on marketplace transactions as disclosed at the point of sale.

6. Acceptable use

You may not claim, list, or use a CodeMark to impersonate another person or brand, to mislead scanners, to infringe rights, to facilitate fraud or abuse, or for any unlawful purpose. Counterfeit, squatting on famous marks, and abusive registrations are prohibited and will be cancelled without refund.

7. Fees and payments

Registration, renewal, and marketplace fees are shown at checkout and are payable through our payment provider. Fees are generally non-refundable except where required by law or where CodeMark cancels a registration for its own reasons before it is made live.

8. Limitation of liability

The CodeMark registry and its rights screen are provided on an "as is" basis. To the fullest extent permitted by law, CodeMark is not liable for any claim, loss, or damage arising from the availability or non-availability of a name, the accuracy of the rights screen, the resolution of scans, or any trademark or IP dispute involving a registered name.
